Terms & Conditions of Sale

These Terms and Conditions ('Terms') govern the supply of products by Atlantic Boba Ltd ('Atlantic Boba', 'we', 'us', 'our') to business customers ('you', 'Customer') through atlanticboba.co.uk and any related ordering channels. By placing an order you agree to be bound by these Terms.

1. Definitions

'Atlantic Boba', 'we', 'us', 'our' means Atlantic Boba Ltd, registered in Northern Ireland, Company No. NI738235, with registered office at Unit 26, Lows Industrial Estate, 31 Ballynahinch Road, Carryduff, BT8 8EH.

'Customer', 'you' means the business or person placing an order through atlanticboba.co.uk.

'Order' means an order placed by you for the purchase of Products.

'Products' means bubble tea ingredients, equipment and related items offered for sale by Atlantic Boba.

2. Business Customers Only

Products supplied by Atlantic Boba are intended for sale to businesses for resale or use in commercial food preparation. By placing an Order you confirm that you are acting in the course of a business and not as a consumer.

3. Orders

Orders constitute an offer by you to purchase Products subject to these Terms. An Order is accepted when we send a written order confirmation. We reserve the right to refuse any Order at our discretion, including where stock is insufficient, where minimum-order requirements are not met, or where we reasonably suspect fraudulent activity.

4. Pricing and Payment

All prices are quoted in GBP and exclusive of VAT. VAT is calculated at checkout based on the destination of the goods. Prices are as set out on atlanticboba.co.uk at the time of Order. We reserve the right to amend prices without notice; price changes do not affect Orders already accepted.

Payment is required at the time of Order via card (Stripe) or BACS bank transfer. We do not offer credit terms at launch. Card details are processed by Stripe and are not stored by Atlantic Boba.

5. Minimum Orders

Minimum order values apply by delivery zone:

6. Delivery

Estimated delivery times: Northern Ireland 24–48 hours; Republic of Ireland 2–4 working days on consolidated runs; Great Britain 3–5 working days. Delivery times are estimates and not guaranteed. Risk in the Products passes to the Customer on delivery.

7. Title

Title in the Products does not pass to the Customer until Atlantic Boba has received payment in full for the Order.

8. Inspection and Acceptance

The Customer must inspect Products on delivery and notify Atlantic Boba in writing of any visible damage, shortage or non-conformity within 48 hours. Otherwise the Customer is deemed to have accepted the Products.

9. Returns

Food products are non-returnable other than where required by law or where the Products are damaged, defective or otherwise non-conforming on delivery. Damaged or defective Products will be replaced or refunded at our discretion subject to clause 8.

10. Allergens, Storage and Use

Allergen, ingredient, storage and shelf-life information is provided on each product label. The Customer is responsible for reviewing this information and complying with applicable food safety legislation when using the Products in commercial food preparation.

11. Limitation of Liability

To the maximum extent permitted by law, Atlantic Boba's total liability arising out of or in connection with any Order is limited to the price paid for that Order. We are not liable for indirect or consequential loss, including loss of profits, loss of business or loss of revenue. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law.

12. Force Majeure

Atlantic Boba is not liable for failure or delay in performance caused by events beyond its reasonable control, including supply chain disruption, customs or import delays, industrial action, fire, flood, pandemic or other causes of force majeure.

13. Compliance with Law

The Customer is responsible for using the Products in accordance with all applicable laws and regulations, including food safety, labelling, and resale legislation in the territory of resale.

14. Intellectual Property

All trademarks, logos, packaging designs and content on atlanticboba.co.uk are the property of Atlantic Boba Ltd or its licensors. The Customer may not reproduce or use these without prior written consent.

15. Governing Law and Jurisdiction

These Terms and any Order are governed by the laws of Northern Ireland. The courts of Northern Ireland have exclusive jurisdiction to settle any dispute arising under or in connection with these Terms.
